Terms & Conditions for Participating Brands

Effective date: January 2026

 

1. Scope and Eligibility

These Terms & Conditions govern the relationship between Consoomers (operated by Cyrna Corp, a New York Corporation) and any brand, company, or authorized representative purchasing or engaging with Consoomers validation services. By submitting an intake form, making a payment, or engaging our services in any form, you agree to these Terms.

You represent that you are an authorized representative of your business and have the authority to enter into this agreement on its behalf.

 

2. Services

Consoomers provides consumer validation services for CPG brands entering or scaling in the U.S. market. Services are delivered across the following packages:

  • First Encounter Read - $1,250 (full payment at submission)
  • Purchase Decision Audit - $5,000
  • Product Reality Audit - $6,000 + handling fee + shipping (billed separately)
  • Full Validation Audit - $9,000 + handling fee + shipping (billed separately)
  • Ongoing Decision Lab - $900/month (billed monthly in advance)

The scope of each engagement is confirmed in writing prior to payment. Consoomers reserves the right to recommend a different package than the one initially requested if the brand's brief is better served by an alternative format.

2.1 Purchase Decision Audit - participation

Consoomers does not guarantee a minimum participation rate for the Purchase Decision Audit phase. This phase is conducted through our consumer community on a pulse basis; response volume reflects organic community engagement at the time of the campaign.

2.2 Product testing - tester recruitment

For engagements that include physical product testing, Consoomers commits to selecting the required number of consumer testers from campaign respondents before shipping product. Profile requirements are reviewed and confirmed at intake before any payment is due. Consoomers reserves the right to decline an engagement if the required profile cannot be reliably met by our consumer community.

Where the brand has specified profile requirements for testers, Consoomers will make best efforts to accommodate those requirements but does not guarantee an exact profile match. If profile requirements cannot be met within the agreed timeframe, Consoomers will communicate this to the brand and discuss options.

2.3 User-generated content

Photo, video, or other user-generated content from consumer testers is not a guaranteed deliverable of the Product Reality Audit or Full Validation Audit. Where testers voluntarily provide such content, it will be shared with the brand subject to the consent terms agreed to by the tester.

 

3. Questionnaire Design and Approval

Consoomers designs all consumer questionnaires based on the brand's brief and our proprietary validation methodology. Questionnaire design is the exclusive responsibility of Consoomers.

Prior to campaign launch, the brand will be given the opportunity to review the questionnaire and raise material concerns. Consoomers will consider feedback at its discretion but is not obligated to incorporate brand-requested changes that conflict with the integrity of the validation methodology.

Brand approval of the questionnaire is required before the campaign is published to the consumer community. The brand will be given 48 business hours to review and respond from the time the questionnaire is shared. Feedback must be limited to material concerns; requests for substantive redesign of the questionnaire are outside the scope of this review. If no response is received within 48 hours, the questionnaire will be considered approved and the campaign will proceed. Once approved - explicitly or by non-response - the questionnaire is considered final.

Consoomers is not liable for findings that the brand considers unfavorable or unexpected, provided the questionnaire was approved by the brand prior to launch.

 

4. Payment Terms

4.1 Standard payment structure

For the First Encounter Read, full payment of $1,250 is due at the time of brief submission. The campaign begins upon receipt of payment.

For the Ongoing Decision Lab, payment of $900 is due monthly in advance. Access to each monthly pulse is contingent on receipt of payment for that period.

For all audit packages (Purchase Decision Audit, Product Reality Audit, Full Validation Audit), payment is structured as follows:

  • 50% of the total engagement fee is due upon confirmation of the engagement, before any work begins.
  • The remaining 50% is due before delivery of the final report. Reports are released upon receipt of full payment.

4.2 Handling fee - product audits

For the Product Reality Audit and Full Validation Audit, a handling fee of $10 per unit applies, covering logistics coordination and management. This fee is included in the project quote provided at intake.

Packaging materials are billed separately at cost when not provided by the brand. Brands who supply their own compliant packaging are not charged for this item.

4.3 Shipping - product audits

Shipping costs are estimated at intake based on product weight, dimensions, and quantity provided by the brand. The shipping estimate is included in the project quote and confirmed before any payment is due.

The shipping estimate is charged as part of the deposit payment. Actual carrier costs are reconciled at the time of final payment:

  • If actual shipping costs are lower than the estimate, the difference is credited against the final invoice.
  • If actual shipping costs are higher than the estimate, the difference is added to the final invoice. Adjustments exceeding 20% of the original shipping estimate will be communicated and agreed upon before being charged.

4.4 Campaign start conditions - product audits

For the Product Reality Audit and Full Validation Audit, the validation campaign will not be published to the Consoomers consumer community until all three of the following conditions are met:

  • Receipt of the 50% deposit payment.
  • Receipt of the shipping allowance as estimated at intake.
  • Receipt of physical product units at the Consoomers coordination address.

Consoomers cannot guarantee campaign timelines for product audits until all three conditions are satisfied. Delays in product shipment by the brand are the brand's responsibility and do not entitle the brand to a refund or credit.

4.5 Non-refundable deposit and cancellation

The 50% deposit is non-refundable once paid. However, if a brand cancels before publication of the campaign to the Consoomers community, up to 50% of the deposit may be converted into a service credit, valid for 6 months from the date of cancellation, at Consoomers' discretion. Credit is non-transferable.

Once the campaign has been published to the Consoomers consumer community, the deposit and shipping allowance are non-refundable in full. No credit will be issued. In the event of cancellation after publication, any product units already distributed or prepared for distribution will be sent to community members as a gift, with no evaluation obligation attached. Consoomers will not be liable for the cost of products distributed under these circumstances, as product shipment to our coordination address constitutes the brand's acceptance of this condition.

4.6 Late payment

If the final 50% payment is not received within 14 days of notification that the report is ready for delivery, Consoomers reserves the right to withhold the report until full payment is received. Consoomers is not liable for any business impact resulting from delayed report delivery due to late payment.

 

5. Brand Obligations

By engaging Consoomers services, you agree to:

  • Provide accurate and complete information in your intake brief, including brand context, category, target consumer profile, and assets to be tested.
  • Supply assets (packaging, PDPs, claims, or other materials) in the format and resolution required for testing, within the timeline agreed at intake.
  • For product audits: supply up to 30 units of the product to be tested, in consumer-ready condition, and ship them to the Consoomers coordination address within the agreed timeframe.
  • Ensure all products submitted for testing are safe, compliant with applicable U.S. regulations, and fit for consumer use. Consoomers is not liable for any safety incidents arising from products supplied by the brand.
  • Review and approve the consumer questionnaire before campaign launch, in accordance with Section 3.
  • Ensure that all submitted materials and products do not infringe third-party intellectual property rights and comply with applicable laws and regulations.

 

6. Confidentiality

Consoomers treats all brand submissions as strictly confidential. Specifically:

  • Brand briefs, assets, positioning materials, pricing, and unreleased product information are never shared with other clients or third parties, except as strictly required to deliver the service (e.g., shipping coordination).
  • Validation results and reports are delivered exclusively to the brand that commissioned the engagement.
  • No brand is referenced in case studies, benchmarks, or marketing materials without explicit written consent.
  • Consumer respondents are not informed of which brand commissioned the audit.

Consoomers may use aggregated, anonymized insights across engagements to build category-level benchmarks. No brand-identifiable data is included in any aggregated dataset without written consent.

 

7. Intellectual Property

7.1 Brand materials

All assets, materials, and information submitted by the brand remain the intellectual property of the brand. By submitting them, you grant Consoomers a limited, non-exclusive license to use those materials solely for the purpose of delivering the agreed validation service.

7.2 Deliverables

Upon receipt of full payment, the brand owns the validation report and all findings delivered as part of the engagement. Consoomers retains the right to use anonymized, aggregated insights for internal benchmarking purposes only.

7.3 Consoomers platform and methodology

All content, methodologies, frameworks, designs, and materials developed by Consoomers remain the intellectual property of Cyrna Corp. You may not reproduce, distribute, or commercialize any Consoomers methodology or platform content without prior written permission.

7.4 Consumer identity and non-solicitation

Consoomers does not disclose the identity of consumer testers to brands. Brands may not use the Consoomers platform or any information derived from a validation engagement to identify, solicit, or directly contact consumer testers. Where a tester voluntarily publishes content related to a product on their own social media channels, any resulting public visibility is incidental and does not constitute disclosure by Consoomers. Brands may not use such incidental visibility as a basis for direct outreach or recruitment of testers outside the Consoomers platform. Any attempt to circumvent this condition will result in immediate termination of the engagement with no refund, and may result in legal action.

 

8. Disclaimers and Limitation of Liability

Consoomers provides consumer validation services based on real consumer responses at the time of the engagement. We do not guarantee specific commercial outcomes, sales results, or market performance as a result of our findings.

Consoomers is not liable for:

  • Decisions made by the brand on the basis of validation findings.
  • Negative or unfavorable consumer responses generated through a validation engagement. Consoomers delivers authentic consumer reactions - findings reflect genuine responses and are not curated or filtered on behalf of the brand.
  • Future commercial performance of the brand, including but not limited to sales results, retail velocity, conversion rates, or market reception, whether or not influenced by decisions made on the basis of validation findings.
  • Delays caused by late or incomplete submission of assets or products by the brand.
  • Safety incidents or issues arising from products supplied by the brand for consumer testing.
  • Business impact resulting from delayed report delivery due to late payment by the brand.
  • Findings that the brand considers unexpected or unfavorable, provided the questionnaire was approved by the brand prior to campaign launch.

To the fullest extent permitted by law, Consoomers' total liability in connection with any engagement is limited to the fees paid by the brand for that specific engagement.

 

9. Termination

Either party may terminate an engagement before publication of the campaign to the Consoomers consumer community with written notice. The cancellation and credit policy in Section 4.5 applies.

Consoomers reserves the right to decline or terminate any engagement at its discretion, including if submitted materials or products are found to be unsafe, non-compliant, or materially misrepresented, or if the required consumer profile cannot be met. In such cases, any fees paid will be reviewed on a case-by-case basis.

If Consoomers terminates an engagement on the grounds that the required consumer profile cannot be met, a full refund of all fees paid will be issued to the brand, including any shipping allowance collected.

 

10. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes will be resolved in the courts of New York, NY.

 

11. Changes to These Terms

Consoomers may update these Terms from time to time. The revised version will be posted on our website with a new effective date. Continued use of our services constitutes acceptance of the updated Terms. For active engagements, material changes will be communicated directly to the brand.
